In order to realize the potential for member firms’ growth, the Institute has organized a series of M&Amp;A seminars and roadshows since 2011, to serve as a platform for member firms who would like to explore the option of merger, acquisition and affiliation in the face of globalization and recent legislative changes such as the possibility of introducing audit exemption in the near future.

During the recent Merger, Acquisition and Affiliation Seminar and Exhibition held at SME Corp on 2 June 2016 (Thursday), Dato’ Narendra Jasani, the Country Managing Partner of SJ Grant Thornton presented on the potential prospects of companies merging in a mutual agreement and the procedures that take place in order to ensure both parties understand the consequences of their merger.

“Companies which perform M&Amp;A should not be seen as a dominating or monopolizing the market. Instead, it should be viewed as an opportunity for companies in attracting new clients, thus creating an opportunity to win business,” said Jasani.

Janise Lee, the Head of MIA SMP Department updated on the recent regulatory changes, which serve as a key driver for merger and affiliation, and offered some practical views on why there is an urgent need to focus on being relevant, competitive and innovative in the thought process, operations and development of quality services.

Practitioners were also briefed by Paul W Chan, President, Business Transitions Asia Sdn Bhd, on the insights for valuation process and how quality of cash flows, transition risk and marketplace demand impacts the firms’ value. He also stressed that succession planning has always been the key practicing issues among practitioners as most firms tend to neglect it.

The Institute has also invited several member firms to take part in the exhibition and to share their experience in merger/acquisition/affiliation. The six participating member firms are as follows:

The participating firms highlighted the areas that should be observed pre-M&A, during M&A and post-M&A, besides showcasing their business models and the elements that they are looking for in a firm to be acquired or what affiliation model they have for adoption by other member firms.
